David J. Kendall

David's practice focuses on corporate and business transactions and general corporate and business law. David has extensive experience in mergers and acquisitions, securities and credit finance and has worked with clients ranging from early-stage start-ups to multi-national Fortune 100 companies. He has worked on public and private merger and acquisition transactions with aggregate deal values in excess of $250 billion, including representing principals in transactions with deal values in excess of $25 billion. In addition to offerings of over $20 billion of securities registered in connection with mergers and acquisitions, David has assisted issuers, underwriters and investors in the issuance, sale or purchase of over $2 billion of securities in public and private transactions, including venture capital financings. David has also represented borrowers, financial institutions and other lenders in connection with credit finance transactions in excess of $7 billion. David began his legal career working in New York for Simpson Thacher & Bartlett, an international law firm based in New York. David spent over five years specializing in mergers and acquisitions, securities and credit finance at Simpson Thacher. David moved to Colorado in 2000 and worked in the Colorado office of Brobeck, Phleger & Harrison until December of 2001. David served as part-time general counsel for U.S. Medical, Inc. from December 2001 until June 2002. In February 2002, David founded and became managing partner of Kendall & Associates, the predecessor of Kendall, Koenig & Oelsner. David graduated from Duke Law School in 1994. David received a Bachelor of Science in Business Administration, summa cum laude, and a Bachelor of Arts, summa cum laude from the University of Richmond in 1991. -
Benjamin P. Oelsner

Ben specializes in the representation of companies in intellectual property and technology-related transactions. Ben's transactional experience includes structuring, drafting and negotiating a wide range of commercial transactions, including software license agreements, OEM agreements, VAR agreements, reseller agreements, technology transfer and development agreements, services agreements, electronic commerce agreements and Internet co-marketing and co-branding agreements. Ben provides advice regarding domestic and international intellectual property utilization, protection and management and has experience in domestic and international trademark counseling and prosecution. Ben's clients range from start-ups to large public companies and include life sciences companies, software vendors, hardware manufacturers, and a wide variety of e-commerce and Internet-related businesses. Prior to joining Kendall, Koenig & Oelsner, Ben was an associate in the Technology Transactions Group of Cooley Godward's Colorado office and an associate at Brobeck, Phleger & Harrison in Palo Alto, California. Ben received his law degree in 1995 from the University of San Francisco School of Law where he was member of the Law Review. He received a B.A. in Philosophy from the University of California at Santa Barbara in 1985. Ben is admitted to practice in Colorado and California. He is a member of the American Bar Association, the Colorado Bar Association and the Boulder County Bar Association. -
John Gaddis

John's practice focuses on corporate and business transactions and general corporate and business law, including mergers and acquisitions, debt and equity financings, company formations, public offerings, strategic alliances and general corporate representation. John's mergers and acquisitions experience includes the representation of public and private companies on a broad array of transactions with aggregate deal values in excess of $2 billion. In addition, John has represented numerous private companies on a wide variety of issues, including formation, shareholder agreements, federal and state securities law compliance, commercial contracts, employment agreements, stock option plans and other related matters. John began his legal career working in Denver for Faegre & Benson, an international law firm based in Minneapolis, Minnesota. John spent over five years specializing in mergers and acquisitions, securities and corporate finance issues at Faegre & Benson. John graduated cum laude from the University of Michigan Law School, where he was a member of the Journal of Law Reform. He received his B.A. in political science from the University of Colorado, where he was elected Phi Beta Kappa and graduated with highest distinction. -
Brad L. Schoenfeld

Brad's practice focuses on the representation of companies in a wide variety of complex commercial transactions and related matters. Brad specializes in the structuring, drafting, and negotiating of diverse commercial contracts related to software, product sales and distribution, manufacturing, technology development and transfers, reseller and distributor relationships, consulting services, procurement, outsourcing, hosting, e-commerce, partnering, and real estate leases. Brad's transactional experience includes both domestic and international transactions where single deals have exceeded $900 million. Brad's clients range from start-ups to large public companies and include software vendors, medical device and life sciences companies, hardware manufacturers, telecommunications companies, oil and gas and “clean” energy organizations, and a wide variety of e-commerce and Internet-related businesses. For many of his clients, Brad serves as their “outside” in-house counsel. Brad has been a featured presenter at the Rocky Mountain Intellectual Property Institute. Prior to joining Kendall, Koenig & Oelsner, Brad spent more than six years as in-house legal counsel for General Electric Company (GE) and Siemens Corporation. While at GE, Brad served as general counsel for a $1 billion division of GE Energy. Prior to his in-house roles, Brad was an associate with Troutman Sanders in Atlanta, Georgia. Brad graduated, with honors, from Duke Law School where he was a senior editor of the Alaska Law Review. Brad received a Bachelor of Science in Applied Economics and Business Management, with distinction, from Cornell University. -
Jonathon Taylor

Jon specializes in securities and general corporate law with extensive experience in public securities offerings, venture capital financings, Rule 144A debt offerings, mergers and acquisitions and public securities law compliance. Jon has helped guide numerous private companies through their initial public offerings and has served as underwriters' counsel in several other transactions. Jon has provided counsel on SEC compliance to a number of companies, ranging from small-cap technology companies to Fortune 500 companies. He also has significant experience with structuring and financing going-private transactions, including high-yield debt offerings. Jon joined Kendall, Koenig & Oelsner after practicing corporate and securities law with Smith Anderson in Raleigh, North Carolina, Cooley Godward in Boulder, Colorado and Wilson, Sonsini, Goodrich & Rosati in Palo Alto, California. Jon graduated from Duke Law School, magna cum laude and was elected to the Order of the Coif. While in law school, he served as Articles Editor of the journal of Law and Contemporary Problems. Jon is a co-author of "The Sale of Technology-Based Businesses in a Challenging Market," The Colorado Lawyer, April 2002.

She drafts and negotiates an extensive range of contracts including: technology transfer agreements, software license, development, and subscription agreements, multimedia licenses, data center services agreements, co-marketing and co-branding agreements, network license and maintenance agreements, clickwrap and shrinkwrap agreements, website privacy policies and terms of use, product distribution and reseller agreements, product integration agreements, non-disclosure and non-compete agreements, independent contractor and consulting agreements, professional services agreements, private-label agreements, content licensing agreements, commercial leases, and executive employment agreements. Sharon also advises corporate clients on contractual disputes, online marketing and advertising, social media use, and e-commerce related matters. Prior to joining Kendall, Koenig & Olesner, Sharon worked as in-house Corporate Counsel at Network Solutions, LLC, a leading provider of web hosting, email, online marketing, e-commerce, website design, and domain registration services worldwide. She began her legal career practicing in the Washington DC office of White & Case, LLP, an international law firm based out of New York. Sharon graduated from The George Washington University Law School in 2006 and received her B.A. from Cornell University in 2002. -

Jennifer also represents clients in connection with mergers and acquisitions, divestitures, restructurings and company formations. In addition, Jennifer advises clients regarding securities law compliance and disclosure matters, corporate governance matters and other general corporate matters. Prior to joining KKO, Jennifer practiced in the Denver, Colorado office of Gibson, Dunn & Crutcher, an international law firm based in Los Angeles, California.
